What is a Foreign Business License Thailand and when is it required

Under the Foreign Business Act B.E. 2542, a company that is more than 49 percent foreign-owned and intends to operate activities in List 2 or List 3 must obtain a Foreign Business License Thailand from the Department of Business Development before commencing those activities. If the company is BOI-promoted, it typically applies for a Foreign Business Certificate instead of an FBL.

Who does not need a Foreign Business License Thailand

Minimum capital for a Foreign Business License Thailand

Thailand prescribes minimum foreign business capital. For licensed businesses under Section 14 paragraph 2, the minimum must be at least 25 percent of the first three years’ average estimated expenses and not less than 3,000,000 baht. Where a company operates more than one restricted business, capital is assessed by business and the total cannot be less than the prescribed minimums. Capital remittance timing and tranches are also set in the ministerial regulation.

  • Keep documents current: affidavits not older than six months and complete Thai translations where required by DBD.

  • Check whether a service is exempted from the FBL regime under the latest ministerial regulation before you file.

Alternatives to an FBL and related structuring

  • BOI promotion where eligible, followed by Foreign Business Certificate issuance. This avoids the FBL track and can relax some ratios and conditions depending on the project.

  • Amity Treaty route for qualifying U.S. investors. This can permit majority ownership in many sectors subject to certification and sectoral exclusions.
